【301戰役】連載（二）

……當時，與我們看法相同且強烈反對這二條規定的，還有謝長廷立法委員，林壽山立委與謝長廷立委兩人在立法院院會二讀時，不約而同地聯手全力抵制。支持行政院原草案的「表決部隊」立法委員們正等待隨時舉手護盤過關時，由陳癸淼立法委員提議、陳水扁立法委員修正文字的「折衷案」及時出爐，林、謝兩人眼看「表決部隊」已待命完成，只好妥協，無奈地接受「折衷案」的現行條文……

第一章　鬼魅條款的牽引
一、鬼魅條款的爭議
以我過去經常從事音樂、美術設計、電腦程式設計等工作，且是國立藝專廣播電視科畢業，對＜著作權法＞所要保護的各類著作都有實務經驗，因此，對著作權的問題可能比別人多一份敏感。民國七十五年間，為了參加高等考試，取得公務人員任用資格，辭掉臺北市私立景文工商「黑牌」訓育組長的工作，全力研究法律、政治與經濟，並到補習班補習，有了法學基礎後，才開始接觸＜著作權法＞。

研讀當時＜著作權法＞的內容後，才發現這部法律的問題百出，不僅與實務脫節，且對創作人非常不利。例如，從滿清著作權草案就規定的「出資人聘人完成之著作，其著作權歸出資人所有」，這種不問出資的對價，著作權都歸出資人所有的規定，已令我心生不平。

後來，韓正皓等人籌組中華民國作詞人、作曲人協會，大會成立時，曾邀請一位國內知名的＜著作權法＞學者到會演講，我發現這位學者所講的內容雖然專業，但臺下的音樂家恐怕沒有幾個人聽得懂，問題可能出在這位學者沒有音樂創作的實務經驗。再加上我的作品也曾經在民國六十年間遭到「中廣國樂團」的刪改，不僅旋律被任意修改，連曲名也不例外，例如，因曲名被認為太灰色，「秋心」被改名「黎明」，因當時推行小康農村運動，「大學生序曲」被改名「小康農村序曲」。維護創作人權益的理念，就逼著我花比較多的時間去了解＜著作權法＞。

民國七十六年十二月十五日，我南下高雄，擔任當時還是高雄市議員林壽山的助理，民國七十九年十二月二十日，行政院將＜著作權法修正草案＞送進立法院排隊審議時，我已被延任為林壽山立委的國會助理，決定全程緊盯立法院的歷次審查。

未料，以立法院法案塞車的情況，＜著作權法修正草案＞竟然於隔年三月二十一日即排入議程，開始一讀會審查，當時，我的確措手不及，只好寄望林壽山立委以「先舉行公聽會後，再審查」為由，先擋下審查的進度。

三月二十一日，一讀會第一次審查時，於進行第一條至第四條的逐條討論時，只有蔡友土立法委員一人發言，前四條條文快速地照案通過。這時，林壽山立委趕到會場，並提出先舉行公聽會的主張，立即獲得在場的王聰松與蔡璧煌兩位立法委員的發言支持，而暫停審查。
五月二日，一讀會第二次審查時，委員會邀請專家學者舉行公聽會，但邀請的對象不是資方代表，便是兼有資方顧問身分的專家，全無創作人的代表，純學者身分者，也只有蔡明誠教授一人，的確令我大失所望，當時＜著作權法＞的專家學者我都不認識，我又急於向專家學者請益，因而，主動去認識蔡明誠教授，後來，我對於＜伯恩公約＞與＜德國著作權法＞的了解，以及更堅定對創作人權益維護的信念，大多來自於蔡教授的指導。

十月七日，一讀會第三次審查時，適逢林壽山立委出國，又無其它立法委員關切創作人的權益，當天即審查完九十一條條文，十月九日快速完成一讀審查。

眼看大勢將去，我開始草擬對案，以利林壽山立委在二讀會時翻案，由於＜著作權法＞太過於專業，一般的律師也不見得了解，我擔心林壽山立委來不及消化資料，因此，將整個對案的重點放在與創作人權益有關的條款上，並於二讀會前的民國八十一年五月二日提出書面修正動議。（註一）

林壽山立委在二讀會的發言，以及我代擬的修正動議，引起＜著作權法＞學界的注意，不少法學專家紛紛打聽是由那位專家學者代擬的修正動議，當他們知道是我時，都不願相信，認為不可能，臺北市律師公會「律師通訊」副主任委員黃國鐘律師還特別約我見面談談「查證」，後來，我就應黃律師之邀，在「律師通訊」發表「音樂人適用新著作權法之困境」一文。（註二）

當時，行政院原草案極度保護法人與出資人，第十一、十二條規定創作人在法人或出資人規劃監督下完成的著作，除法令或契約另有規定外，以法人或出資人為著作人。行政院對此規定的解釋，在立法的理由指出「因受聘雇人在性質上僅係出資人、法人的工具或輔助人」。

把受聘雇的創作人當做「工具」，實是對創作人一大侮辱。林壽山立委與我同是國立藝專畢業，當然完全無法接受，曾對這兩條規定提出強烈的批評：「有錢人可以合法買到碩士、博士學位，大專以上教師也可以合法買到升等論文」、「只要有錢就可以名正言順當作曲家、小說家、畫家」，錢真的變成萬能了？為了爭取立法委員與媒體的支持，我還特別請漫畫家畫了兩則漫畫。

當畫家、音樂家與作家等創作人在出資人的企劃下，分別受聘雇畫了一幅畫、寫了一首歌與一篇散文，但不論他們收到多少報酬？也不論出資人是公司機關團體或個人，只要創作人依出資人提出的「以出資人為著作人」合約簽約，當他們將創作完成作品交給出資人後，就要面對「二年以下有期徒刑」的「冤」獄，您相信嗎？
現行＜著作權法＞第十一、十二條前段規定，受聘雇人在出資人企劃下完成之著作，以該受聘雇人為著作人，看起來是要保護受聘雇的創作人。但是，卻另有但書規定，以契約約定出資人或其代表人為著作人者，從其約定，但書規定的結果，使保護創作人原意盡失。這項規定的目的是在認定誰是「著作人」。

誰是「著作人」有何關係？依＜著作權法＞第十三條至第二十九條的規定，誰是著作人，誰就享有全部的著作人格權（包括首次公開發表權、姓名表示權與禁止不當修改權等三種）與著作財產權（重製權、公開演出權、改作權．．．等）。既然已約定出資人為著作人，出資人才有姓名表示權，當創作人習慣地在自己創作完成的原稿上具名時，就侵害出資人的姓名表示權。因為創作人以不是著作人，他們無權禁止他人不當之修改，出資人當然可以任意竄改創作人的原作，扭曲他們創作的原意。

假如創作人未經出資人同意，將其作品併入他們的專集出版，就只好準備坐牢了，因為他們侵害了出資人的「重製權」，最低的法定刑是六個月以上，依法不得易科罰金。若這位音樂家擅自公開演唱這首歌或改編這首歌為管絃樂，則是侵害出資人的「公開演出權」、「改作權」，也只好另外面對「三年以下有期徒刑」的刑責。不管合約如何簽，音樂家竟不能自由公開演唱自己創作的歌曲，實在是「不人道」。

同樣地，專家學者、節目主持人、攝影家、記者、小說家、詩人等創作人只要草率簽了約，都有上述的問題。

出資人未創作，本無著作，花錢得而為著作人後，就有著作，也可以任意凌遲該著作。這與「鬼魅」本無體，「附身」後，就有體，也可以恣意宰制人體，二者有何不同？當然，出資人未必都是惡鬼，不過，若非「鬼魅」，當無「附身」之必要，花錢仍可取其所需，何須「附身」去當著作人？

＜著作權法＞第十一、十二條，行政院原草案的規定是，除非創作人要求出資人簽約，否則，出資人為著作人。立法理由更指出「因受聘雇人在性質上僅係出資人的工具或輔助人」。這種規定就像，除非人體主動拒絕，否則「鬼魅」可以直接「附身」。立法院不過修正為，「鬼魅」告訴人體說：我要「附身」，你同不同意？事實上，創作人面對出資人簽約要求，就如同人體面對「鬼魅」附身的要求一樣，恐怕只有知名的創作人敢於說「不」。

反過來看出資人，的確，「有錢能使鬼推磨」，只要有錢就可以因而買到音樂家、畫家、導演、小說家等頭銜，甚至兼有各「家」之名，且據而取得學位，使買學位「合法化」。
出資人得為著作人的立法理由認為，受聘雇的創作人只是出資人的「工具」，而依＜著作權法＞第三條規定的定義，著作人是指創作著作之人。出資人既然主動要當創作著作之人，倘若著作涉及抄襲或誹謗，出資人恐不能辯說「這不是我創作的」。但有那些出資人知道？他們在律師的誤導下，從創作人強取的不必要權益，相對地，也會為自己帶來挨告坐牢的後果。

民國八十一年五月十九日，三讀通過後，第十一、十二條被誣指為「林壽山條款」，國內企業界也在其法律顧問的誤導下，開始圍勦林壽山立委，並揚言罷免林立委，某著名的著作權律師南下高雄演講時，甚至公開指責林立委不懂、亂搞。這名律師後來也在民國八十三年一月底某音樂著作權團體會議上，點名批判我不懂、亂搞。

現行＜著作權法＞第十一、十二條（註三）規定，受聘雇人在法人或出資人企劃下完成職務上的著作，以受聘雇人為著作人，但如果有契約約定以法人或出資人代表人為著作人時，則從其約定。新法一出爐，使得不少公司企業、新聞傳播媒体等資方忙碌起來，這些公司的老闆們開始忙著與旗下「受雇人」、「受聘人」簽訂契約。

到目前為止，簽下公司那份「賣智契」的員工恐怕已經不在少數，問題是，這些受雇於企業的創作人，對那份契約真正了解多少呢？它關係自已多少實質的權益？恐怕沒有幾個人知道。又有那些企業主知道，他在律師的誤導下，從創作人強取的不必要權益，相對地，可能會為自己帶來挨告坐牢的後果？

而另一方面，企業界出資人在厭躁與受聘雇人簽約帶來的麻煩手續之餘，反彈聲浪興起。出資人紛紛詢問：「是那一位多事的立委修出這麼麻煩的法令？」主管官員向新聞界傳話，箭頭指向林立委。其實是誤傳，擬出這項妥協案的立委另有其人，但因林立委初始鮮明的保護創作人立場，使主管官員也沒搞清楚狀況。
